임원보수규제방안으로서의 보수위원회에 관한 연구

초록/요약
임원보수에 대한 규제는 최근 기업지배구조 개선과 관련하여 더욱 더 관심이 고조되고 있다. 임원보수에 대한 규제는 회사의 자율에만 맡길 수 없는 중요한 과제로 여러 가지 방법에 의하여 행하여질 수 있는데, 그 중 미국, 영국, 일본 등에서 활용되는 보수위원회 제도는 이사회 내 위원회의 하나로 독립적인 이사가 최소한 과반수 이상으로 구성되어 임원의 보수를 결정하는 기구이다. 이사를 포함한 임원의 보수규제 중 회사 내부적으로 보수를 공정하게 결정하도록 하는 보수결정절차규제 중 한 방법으로, 우리법에서는 금융회사지배구조법에서 일부 금융기관에 대하여 보수위원회를 설치･운영하도록 하고 있지만, 세부적인 규제는 자율에 맡겨둔 상태이다. 그러나 보수위원회가 제 기능을 다하기 위하여는 독립성과 전문성이 확보되어야 한다. 이를 위하여 본고에서는 미국, 영국, 일본의 보수위원회 제도를 검토하여 그 결과 우리법상 실효성을 확보하기 위한 방안들을 제안하였다. 우선 보수위원회의 독립성 확보를 위하여는 보수위원회 위원 전원을 사외이사로 구성하고 보수위원회 위원이 실질적인 독립성을 확보하였는지를 판단하기 위한 구체적인 기준을 마련하여 그 기준에 부합하지 않는 위원은 업무로부터 배제시켜야 하며, 현행법상 요구하고 있는 보수체계에 보다 구체적이고 상세한 보수산정기준을 포함시켜야 한다. 다음 보수위원회의 전문성 확보를 위하여는 보수전문가들로부터 자문을 얻을 권리를 제도적으로 보장해주고, 보수전문가에 대한 독립성 판단기준도 수립하여 독립성이 확보되지 않은 보수전문가로부터는 자문을 받지 못하도록 하여야한다. 기타 보수위원회의 권한과 책임을 명확하게 하고 일정규모 이상의 상장회사에게는 보수위원회 설치를 강제하는 한편, 보수위원회를 임의로 설치하는 일반 기업의 경우에도 금융회사지배구조법상 보수위원회에 관한 규제가 적용될 수 있도록 할 필요가 있다. 위 방안들은 임원보수절차의 투명성을 개선하고 보수위원회의 실효성을 확보함으로써 보수위원회 제도를 활성화시키고, 나아가 기업지배구조의 개선에도 기여할 수 있을 것이다.

The Compensation Committee of a company’s board of the independent directors determines and approves the executive’s compensation level based on the committee’s evaluation of the their performance. The Compensation Committee is the one of the executive ompensation reforms, which regulates executive compensation process. Under the existing Act on Corporate Governance of Financial Companies, some financial companies should have a compensation committee comprised of a majority of the independent directors. The Compensation Committee can enhance transparency and effectiveness by ensuring the independence and expertise of its members. If all members of the Compensation Committee are composed of outside directors and the Compensation Committee members meet the criteria for judging independence, the independence of the Compensation Committee will be secured. And the Compensation Committee’s expertise may also be enhanced if the members of the Compensation Committee systematically ensure that they have the right to get advice from independent experts.
