초록/요약
The Blockchain technology, which is considered to be the basis of the Fourth Industrial Revolution, is used in almost all economic and social fields such as finance, insurance, logistics, energy, medical and public sectors. Among them, ICO(Initial Coin Offerings), which is a method of raising money using the blockchain technology, takes center stage in worldwide. ICO is a method of issuing tokens and raising money from investors based on cryptocurrency and blockchain technology. Start-ups prefer the ICO because it is not regulated by the government or specific organizations, unlike existing methods of raising money. However, with the absence of regulation or legal grounds for the ICO, investors are increasingly being affected by fraudulent ICO, and the Korean government’s ban on all ICO has led the Korean companies to relocate to foreign countries where ICO are permitted, causing the outflow of national wealth. Since the existence of adequate regulations regarding the ICO seems necessary, discussing whether the future work should include the legal nature of ICO and tokens, thus to incorporate into the existing legal system or to introduce a new legal system should certainly be made. Therefore, in this paper, we tried to examine the concepts, procedures, types, and the legal characteristics of the ICO. Also, we scrutinized the regulations in respect to the ICO abroad and in Korea. Finally, we will be considering the improvement plans for the agenda.

차 산업혁명의 바탕을 이루는 블록체인 기술은 금융, 보험, 물류, 에너지, 의료, 공공 분야 등 거의 모든 경제, 사회 영역에서 사용되고 있다. 그 중에서도 블록체인 기술을 이용한 ICO(Initial Coin Offerings)가 전 세계적으로 각광받고 있는데, ICO는 암호화폐와 블록체인 기반으로 기업이 토큰을 발행하여 투자자를 공모하고 자금을 조달하는 방법이다. 기존의 투자유치방법과는 달리 정부나 특정 조직에 규제를 받지 않기 때문에 스타트업이 선호하는 방법이다. 하지만 ICO에 대한 규제나 법적 근거가 부재하는 상황에서 사기적 ICO로 인한 투자자들의 피해가 증가하고 있고, 한국 정부의 ICO 전면금지조치는 한국기업이 ICO를 허용하는 외국에 나가서 ICO를 진행하게 만들어 심각한 국부 유출을 발생시키고 있다. ICO 및 토큰의 법적 성격을 규정하여 ICO에 대한 적절한 규제가 필요해 보이는바, 본 논문은 먼저 ICO의 개념과 절차, ICO의 유형과 법적 성격, ICO에 대한 해외에서의 규제를 살펴보고 국내에서의 규제를 고찰한 뒤 마지막으로 그 개선방안을 검토하였다.
