2020년 우리나라 법원에서 선고된 판례 중 국제거래법 분야에서 주목할 가치가 있는 판례를 선정하여 사실관계, 법원의 판단, 평석의 순서로 사안을 소개하고 해당 판례가 내포하는 함의를 검토해 보았다. 먼저 준거법이 문제된 사안을 먼저 검토하였고 이어서 국제재판관할합의나 중재합의 즉 분쟁해결조항과 관련한 사안을 분석하였다. 준거법이 문제된 사안에서는 준거법의 분열과 보험자대위, 국제항공운송, 서비스 플랫폼 이용계약과 소비자의 보호, 양도의무계약이 검토되었고 분쟁해결조항과 관련된 사안에서는 전속적 국제재판관할합의의 유효요건, 전자문서에 포함된 전속적 국제재판관할합의의 서면요건, 중재합의의 준거법과 국제적 강행규정의 적용, 집행판결의 기판력의 객관적 범위가 분석되었다. 국제화가 일상화되면서 외국적 요소가 있는 분쟁 또한 빈번히 발생하게 되었고 최근의 새로운 거래형태의 출현으로 인하여 이와 관련된 사안이 보고되어 흥미롭다. 서비스 플랫폼 이용계약이나 프랜차이즈계약과 관련하여 준거법의 쟁점이나 중재합의의 유효성의 쟁점 등은 향후 선례로서의 의미를 지닐 것으로 생각된다. 본 논문에서의 판례에 대한 소개와 분석이 국제거래법에서의 쟁점을 명확히 파악하고 국내적 이익의 보호는 물론 나아가 국제거래의 안정이라는 큰 틀 속에서 충돌되는 이해관계를 조화롭게 조율하는 법리를 확립하고 정착하는데 다소나마 도움이 되기를 기대한다.

This essay reviews major court decisions rendered in 2020. In each decision, facts are introduced, then the court’s ruling is mentioned, and finally comments on the decision are presented. The essay examines first decisions containing the applicable law issues and then those related to dispute resolution clauses. The first group covers issues including splitting law and insurer’s subrogation, international contracts of carriage, a contract for the provision of platform services and the protection of consumers, and voluntary assignment. The second covers validity of exclusive choice of court agreements, formal validity of an exclusive choice of court agreement contained in electronic documents, the applicable law to arbitration agreements and the application of international mandatory provisions, the scope of res judicata for an enforcement decision. It is intriguing to see new types of international business transactions and their disputes emerge. In particular, the decisions dealing with a contract for the provision of platform services and a franchise contract are expected to serve as an influential precedent for future disputes. This essay could contribute to developing legal principles striking a balance between the protection of internal interests and improvement of international trade.
